Article I. Name
|
This Society shall be named, known and
styled as: |
Asian Australasian Society for Stereotactic and Functional Neurosurgery
|
|
The abbreviation of the society name shall be AASSFN
|
|
Article II. Objectives and Purposes
|
|
The principal object of this Society shall be to form Asian and Australasian
organization to foster the study and teaching of better treatment of persons
afflicted with injuries, lesions, diseases and abnormalities of the brain.
The purpose of this Society shall be as follows:
|
a.
|
To foster the use of stereotactic,
functional and computer assisted neurosurgical methods for the treatment of
diseases of the nervous system |
b.
|
To advance stereotactic and functional neurosurgery and related sciences, to improve patient care, to support meaningful basic and clinical research, to provide leadership in undergraduate and graduate education and continuing education, and to promote administrative facilities necessary to achieve these goals. |
The society shall strive to achieve its objects in particular
through:

a.
|
Congresses and lectures as well as scientific publications.
|
b.
|
Personal contact and close relationship among the
members themselves and with physicians and paraclinical scientists in all
specialized fields related to stereotactic and functional surgery of the nervous
system. |
This society shall be non-profit and
shall thus serve the public interests. |

Article III. Membership
|
|
Section 1. Types
|
|
There shall be four types of memberships in the Society: active,
associate and honorary and corresponding.
|
a.
|
A person may become an active member on the basis of his education and
his previous work concerning the theoretical and practical application
of stereotactic and functional neurosurgery of the nervous system. A candidate
must have completed university training or comparable professional training.
Candidates for active membership must have been trained in neurological
surgery. |
b.
|
Associate membership can be granted to any
physician or paraclinical scientist who is practically and theoretically
occupied with the relevant field of specialty or parts thereof. |
c.
|
Honorary membership may be granted to persons of
outstanding importance in the neurosciences. |
d.
|
Corresponding members shall be contributors to
the field who might serve on special committee with full membership
responsibilities |
|
Section 2 Rights and Duties of Members
|
|
Members are entitled to participate in all events of the society, as far as
not otherwise designated, and are entitled to use all facilities of the society
to the extent which opportunity permits. The society nevertheless reserves the
right to set a fee for participation in the events held.
Active members have voting rights and shall be entitled to vote at General
Meetings of the society and to be elected to office.
Members should
maintain and support the interests of the society to the best of their ability,
to respect its constitution and should make use of their rights according to the
constitution whenever possible.

Section 3. Endorsement
|
|
No form of membership in this Society shall be interpreted as
endorsing the qualifications of the respective member to perform operations on
human patients. Members, who use their membership for advertising purposes in
any way, shall forfeit this membership. The Executive committee shall have the
power to suspend or expel any member who fails to maintain his good professional
standing.

|
Article IV. Officers and Executive Committee
members
|
|
Section 1. Officers
The Officers of this Society shall be
the President, Vice-President and Secretary-Treasurer.
Section 2. The
Executive Committee
The Executive Committee shall consist of members to
be elected at the business meeting of the Society. These executive committee
members shall serve until their successors have been qualified.

Article V. President, Honorary President, Vice-President, Secretary-Treasurer
and Executive Committee members
|
|
Section 1. President
The President shall preside at all
meetings of the Society; He shall sign all orders drawn on the treasury when so
authorized; have charge of all title deeds, papers, books and records not
especially entrusted to other officers; appoint all committees not otherwise
provided for; and perform all such other duties as usually appertain to the
office of the President of a Society. He shall be entitled to vote at the
meetings of the Society only in cases of a tie vote. He shall supervise the
execution of all rules of the Society.
Section 2. Honorary
President
Honorary president may be granted to a person who has served as
the President previously. He shall have right to attend the Executive Committee
and to give advice, but he shall have no right to vote.
Section 3,
Vice-President
The Vice-President shall perform all duties of the
President in the case of his absence, death, resignation or inability to act. He
shall assist the President in such matter as necessary. He shall be in charge of
all committees. The succession of the presiding officers thereafter shall be:

Section 4, Secretary-Treasurer
|
|
a.
|
As the Treasurer, he is responsible for the
economic and budgetary administration of the society. He is the only person who
is authorised to sign financial matters regarding the Society. He acts on the
written request of the president. Further assignments of responsibility for
internal business matters shall be regulated by the Executive
Committee |
b.
|
As the Secretary, he shall keep accurate minutes
of the proceedings at the meetings of the Society and of the Board of Directors.
He shall issue printed or written notice of all meetings of the Society and the
Board of Directors and shall perform such other duties pertaining to his office
as may be required from time to time by the Board of Directors |
c.
|
As the Secretary, he shall maintain and update
the Web site of the Society. |
|
Section 5, Executive committee
The executive committee
members shall be elected by the majority vote of the members of the Society at
the meeting of the Society; the newly elected executive committee members shall
thereupon nominate and elect, by majority vote, the officers for the forthcoming
years. Officers shall attend the executive committee.

The Executive Committee shall have the
following duties |
a.
|
To confer and decide upon fundamental questions dealing with the
society.
|
b.
|
To maintain contact with the national societies
in the home countries of the individual members. |
c.
|
To coordinate the administrative and scientific
wishes of the members' native countries. |
d.
|
To decide upon appeals of expulsion from the
society. |
|
Decisions are made in the Executive Committee on the basis of a simple
majority of votes cast. In case of a tie, the President shall have the casting
vote.

|
Section 6, Advisery Board
He shall have right to attend the Executive committee and to give advice,
but he shall have no right to vote.
|
|
Article VI. Meetings
The Society shall
meet once every second year or at such other times and places as the officers
deem suitable.
Article VII. Amendments
This
Constitution and Bylaws shall be altered and amended only upon a recommendation
originating with the Executive Committee Members and approved by a simple
majority of votes cast by members in good standing at a regular meeting or a
special meeting of the Society. Proposed amendments must be first submitted in
writing to the Executive Committee.
Article VIII. Adoption of
Bylaws
The constitution and bylaws were adopted by the founding executive committee
members on January 9, 2009 at Hong Kong.
